2. Scope of services
2.1 Operated properties
Acromatico operates all nine properties listed in Annex A: TravelDRD, MidPay.me, Midbank.net V2, Tipping, MidpointOne, DealSupplies, SNVoIP, LendRV, Dealer.Miami. Operation includes hosting, build, deployment, maintenance, monitoring, and incident response.
2.2 Hours included
180 hours / month of build + maintenance time. Overage billed at $150/hr with prior written approval from Nicolas. Hours do not roll over.
2.3 SEO add-on (optional)
If activated, Acromatico provides Lighthouse audits, schema markup,
llms.txt generation, AI citation tracking, and monthly reports per selected site. Pricing per the configurator at /seo-selector. Cancellable with 30 days written notice. Operations retainer is unaffected.2.4 Support & SLA
Email + phone access to Italo Campilii (italo@acromatico.com). Portal-based change requests with 1-business-day acknowledgement SLA. Critical site-down incidents responded to within 4 hours, 24/7.
3. Term & payment
3.1 Term
Eighteen (18) months, commencing on the Effective Date upon mutual signature. Auto-renews month-to-month thereafter unless either party gives 30 days written notice.
3.2 Operations retainer
$2,500 / month, billed on the 1st of each month. Net-15 payment terms. ACH preferred (no convenience fees). Credit card accepted with a 2.9% surcharge.
3.3 SEO add-on
Billed at the rate locked at activation via the SEO configurator. Quantity adjustable monthly; rate may re-tier based on then-current site count. Cancellable with 30 days notice.
3.4 Late payment
Invoices unpaid for more than 30 days incur 1.5% / month interest. Acromatico may suspend non-critical maintenance after 45 days delinquent.
3.5 ACH authorization
Once Nicolas connects a bank account via the secure Stripe Direct Debit setup below, Acromatico is authorized to debit the monthly retainer and any approved overages on the 1st of each month, until written cancellation.
4. IP, data & account ownership
4.1 IP ownership
All code, content, and creative work produced for MidPoint One LLC is owned by MidPoint One LLC, transferred on payment. Acromatico retains a non-exclusive license to use anonymized patterns and components in other client work.
4.2 Account custody
Acromatico provisions and operates third-party accounts (Supabase, Clerk, Cloudflare, Stripe Connect, Resend, Anthropic, Shopify) on Nicolas's behalf. On contract termination, all accounts and credentials are transferred to MidPoint One LLC within 14 days. Acromatico will not delete any data on offboarding.
4.3 Client credentials
Where Nicolas provides credentials for his own existing accounts (Shopify Admin, GoDaddy, etc.), they are stored encrypted (AES-256-GCM) in the Acromatico Command Center and access is logged. Nicolas can revoke at any time via the portal.
4.4 Confidentiality
Each party will hold the other's confidential information in strict confidence and use it only for the purposes of this Agreement. Survives termination by 3 years.

Week 1
Production cutover
Wire Supabase + Clerk + Stripe Connect to all 6 new platforms. Deploy to *.pages.dev URLs. Smoke-test end-to-end.
Week 2
Custom domains live
midpointone.com, snvoip.com, dealer.miami, rent.traveldrd.com. Coordinate Sharetribe cutover.
Week 3
Brand assets + polish pass
Replace placeholder gradients with real logos, OG images, sitemaps, robots.txt. Analytics + error monitoring.
Week 4
SEO engine goes live (if activated)
First weekly Lighthouse pass. llms.txt deployed. AI citation tracking begins; baseline numbers captured.
Month 2+
Operate, iterate, report
Monthly PDF reports. Quarterly architecture reviews. Change requests via the portal. 180 hours / month allocated.
7. Signature

By signing below, you represent that you have authority to bind MidPoint One LLC to this Agreement.

8. ACH auto-pay setup
Connect your business bank account. We use Stripe Direct Debit (US ACH) — no convenience fees, settles in 3–5 business days.
How this works: When you click above, we open a Stripe-hosted form
where you enter your routing + account number (or instant-verify via Plaid). Stripe stores it
securely — we never see the numbers. Future debits happen automatically.
9. Next step — share your access
After signing, securely share login info for your existing accounts (GoDaddy, Shopify, Stripe, etc.) so we can take over operations cleanly.
